We, Fundalyze, offer the online platform Fundalyze (Web App) as Software-as-a-Service (SaaS). This means that we provide you with access to a web application developed by us via the internet. These terms of service apply to the use of the Web App.

We reserve the right to amend these terms of service from time to time. You agree that the most recent version of these terms of service will always apply. Deviating agreements only apply if they have been accepted by us in writing.

1. General

1.1 These terms of service apply to every offer and agreement between Fundalyze and the user of the Web App.

1.2 We will send these terms of service free of charge upon request. They are also available on our Website.

1.3 If any provision of these terms of service turns out to be void or voidable, this does not affect the validity of the remaining provisions. The relevant provision will be replaced by a provision that aligns as closely as possible with the intent of the original provision.

2. No Advice, Only Information

2.1 Our Web App allows you to create and manage fundamental analyses of companies in a structured manner. The platform offers tools, structure, and general information to gain insight into companies and investments.

The information within the Web App may originate from various market sources and from data that you enter yourself. You are responsible for the accuracy and completeness of the data you enter into the Web App.

2.2 Fundalyze is not a (personal) advisor and does not provide (personal) investment advice, financial advice, or any other form of advice regarding the buying, selling, or holding of financial products. We do not intend to and cannot do so. Our Web App and the information we provide are not intended for making investment decisions. The Web App and the information contained therein are solely intended for informational and educational purposes.

The information does not take into account your personal circumstances. Nor does this information constitute a recommendation regarding the suitability of an investment or strategy for you as an individual investor. It is your own responsibility what decisions you make based on the information from the Web App. Fundalyze recommends also consulting other sources or seeking professional advice when making important financial decisions.

2.3 Fundalyze does not buy or sell financial products, not on its own account and not for or on behalf of third parties. Fundalyze exclusively provides an analysis and information platform. Because Fundalyze does not provide financial advice and does not offer financial products, the platform is not supervised by the Netherlands Authority for the Financial Markets (AFM) or De Nederlandsche Bank (DNB).

3. Subscriptions and Cancellation

3.1 To use certain features of our Web App, you enter into an agreement with us (Subscription). The term of the subscription (Subscription Period) is agreed upon during the registration process. The Subscription commences from the date agreed upon during the registration process (Start Date).

3.2 You may terminate the Subscription within 14 days of purchase without giving any reason. If you have made a payment to us within those 14 days, we will refund this payment to the bank account number you have provided.

3.3 If you have chosen a Subscription Period of 1 month, the term of the Subscription is calculated from the Start Date. Upon expiry of this period, the Subscription will be tacitly renewed, each time for a period of 1 month.

3.4 If you have chosen a Subscription Period of 1 year, the term of the Subscription is calculated from the Start Date. Upon expiry of this period, the Subscription will be tacitly renewed, each time for a period of 12 months. After the first year, the Subscription can be cancelled on a monthly basis.

3.5 You can cancel your Subscription before the end of the Subscription Period. Cancellation is done via your personal account on the "subscription" page.

4. Price

4.1 The price is inclusive of VAT and any expenses, unless otherwise stated.

4.2 We may adjust the prices and rates of our subscriptions at any time. The price change will take effect 14 days after its announcement.

4.3 If you have already taken out a Subscription with us, price changes will not be applied during the Subscription Period. During the Subscription Period, you will continue to pay the initially agreed price. The price change takes effect upon (automatic) renewal of your Subscription.

5. Payment

5.1 To use our Web App, you must provide us with a valid payment method. We will debit the amount for the use of the Web App monthly or annually around the day your Subscription commenced via your payment method.

5.2 If you do not fulfil your payment obligation on time, you will be automatically in default. Your personal account will be deactivated at that time until you have fulfilled your payment obligation again.

6. Use of the Web App

6.1 If you wish to use our Web App, you must register on our Website.

6.2 You may only create a personal account for yourself. You may not give others access to (a backup copy of) the Web App.

6.3 You must keep your account details and password strictly confidential. You are liable for all actions taken after logging in with your account details and password. You are not liable for these actions if you have timely notified us that another person knows the password of a personal account.

6.4 You are responsible for the technical operation and maintenance of your internet connection, internal network, and all other IT systems required for the use of the Web App according to our system requirements.

6.5 We have the right to block a personal account. We will do this if we have a reasonable suspicion that one or more personal accounts are being used in violation of the law or this agreement. In addition, we reserve the right to attach other consequences to such use.

7. Availability and Maintenance

7.1 We will ensure that you can use the Web App for the duration of your Subscription with us. We aim to keep the Web App available 24 hours a day, 7 days a week. We are responsible for the operation and maintenance of the Web App.

7.2 We reserve the right to modify the Web App and to change, remove, or add certain features or functionalities of the Web App.

7.3 We do not guarantee that the Web App will function without errors. Please notify us immediately if the Web App experiences a malfunction, such as an error message or the failure of a functionality of the Web App. You can do this by contacting us at: contact@fundalyze.net. We will then do our best to resolve the malfunction as quickly as possible.

8. Indemnification and Liability

8.1 You indemnify us against all claims from third parties arising from the data you have stored, collected, or processed using the Web App. We are not liable for the content of the data you have stored, collected, or processed within the Web App.

8.2 Fundalyze is not liable for any damage or other adverse consequences resulting from the use or unavailability of (information on) our Website and/or Web App. All actions you take based on our Website and/or Web App or the information we provide are at your own expense and risk. No agreement between Fundalyze and you can be established on the basis of such errors or outdated information.

8.3 You should be aware that investing can result in both positive and negative outcomes. Fundalyze does not guarantee that you will achieve certain results. Fundalyze is in no way liable for your investment results. You are fully responsible for the results of your investment portfolio, and you can never hold Fundalyze liable for any damage or loss whatsoever.

8.4 Fundalyze will always make its best efforts to keep the information on the Web App as accurate and complete as possible. However, we cannot guarantee its accuracy and completeness, as Fundalyze depends on third parties for this information. You use the Web App at your own risk and responsibility. Information may contain errors or be outdated because the market is constantly in motion. No rights can be derived from this.

8.5 Fundalyze also accepts no liability for files linked to the Web App or for references to third-party websites included on our Website and Web App.

8.6 We are not liable for damage resulting from inexpert use of the Web App.

8.7 We are only liable for your direct damage that is directly and exclusively the result of a shortcoming on our part towards you.

8.8 If we are nevertheless liable, our liability is always limited to a maximum of the subscription amount over a period of 1 subscription year.

8.9 We undertake to ensure careful storage of data originating from you. We are not liable for the damage to or loss of data stored with us or with third parties.

8.10 The limitations of liability included in this article do not apply if the damage is attributable to intentional acts or gross negligence on our part.

9. Force Majeure

We are not liable if we cannot fulfil the agreement with you due to force majeure. This also applies if you cannot fulfil the agreement due to force majeure. If the force majeure lasts longer than 1 month, you may cancel your Subscription in writing. In that case, there is no right to compensation. We will send you an invoice for the (as yet unpaid) period during which you have used the Web App.

10. Intellectual Property

10.1 We (or our licensors or suppliers) are the exclusive owners of all existing and future intellectual property rights, such as copyrights, trademark rights, design rights, patent rights, source code, and know-how, that are associated with or arise from the Web App.

10.2 You only receive the right to use the Web App. You cannot claim the intellectual property rights referred to in article 10.1. The right to use the Web App is non-exclusive, and it is not permitted to transfer or sublicense the right to use the Web App. All information provided by us is solely for individual use.

11. Confidentiality

We are obliged to keep all your confidential information secret. By "confidential information" we mean all information that you have indicated is confidential or that is confidential by its nature. The following is in any case confidential information: (i) information related to research and development, trade secrets, or business information; and (ii) personal data as defined in the General Data Protection Regulation (GDPR).

12. Applicable Law

12.1 These terms of service are governed by Dutch law.

12.2 Disputes will be submitted to the competent court in the Netherlands.
